Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Beezifi Inc. ("Beezifi," "we," "us," or "our"), the company that operates the Adzifi advertising marketplace (the "Service").

By creating an account, accessing, or using Adzifi in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

You must be at least 18 years of age to use Adzifi. By using the Service, you represent and warrant that:

• You are at least 18 years old;
• You have the legal capacity to enter into binding contracts;
• You are not prohibited from using the Service under applicable law;
• You have not previously been banned from Adzifi for violations of these Terms;
• Your use of the Service will comply with all applicable laws and regulations, including those governing outdoor advertising in your jurisdiction.

3. Accounts & Registration

Creating an Account

To access Adzifi, you must register for an account and select a role: Property Owner (listing ad space) or Advertiser (booking ad space). You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at security@beezifi.com if you suspect any unauthorized access to your account. We recommend enabling two-factor authentication (TOTP) available in your account settings.

One Account Per Person

You may not maintain more than one account per role. Creating accounts to evade a suspension or ban, or to circumvent any of our policies, is prohibited and will result in permanent removal from the platform.

Account Verification

We require email verification before you can use the Service. Property owners receiving payouts must also complete W-9 tax form submission and identity verification (see Section 7).

4. Property Owners

Listing Requirements

By listing a property on Adzifi, you represent and warrant that:

• You own the property or have legal authority to list it for advertising purposes;
• Your listing complies with all applicable local zoning laws, HOA rules, permit requirements, and regulations governing outdoor or digital advertising in your jurisdiction;
• The property information (location, dimensions, photos, traffic data) you provide is accurate;
• You will not list the same space on multiple platforms for the same time period in a way that creates double-booking.

Booking Obligations

Once you approve a booking, you are obligated to honor it. Repeated cancellations of approved bookings may result in account suspension. You agree to allow the advertiser's creative to be displayed for the full duration of the booking.

Your Responsibility for Your Space

You are solely responsible for ensuring your property is suitable for advertising use and for complying with all applicable laws. Beezifi is not liable for any fines, penalties, or legal claims arising from your property listing or advertising activities.

5. Advertisers

Booking Obligations

Once a booking is approved by a property owner, you are obligated to complete payment within the time specified. Failure to pay an approved booking may result in cancellation and account restrictions.

Creative Submission

You are responsible for submitting ad creatives that comply with our Creative Content Policy (Section 8), all applicable laws, and the specific requirements of each ad slot. Creatives are subject to review and approval by Beezifi before campaigns go live.

Advertiser Responsibility

You are solely responsible for the content of your advertisements, including ensuring that all claims are truthful and that you have all necessary licenses and permissions for the creative content you upload. Beezifi is not responsible for advertiser content.

6. Bookings & Payments

Booking Process

Advertisers submit booking requests for specific ad slots and date ranges. Property owners review and approve or decline requests. Once approved, the advertiser must pay to confirm the booking. Funds are held in escrow until the campaign is completed.

Escrow

Booking payments are held in escrow by Beezifi and released to the property owner upon successful campaign completion. In the event of a dispute, Beezifi has the sole discretion to determine the appropriate resolution, which may include full or partial refunds.

Platform Fees

Beezifi charges a platform fee on each completed booking, deducted from the property owner's payout. The current fee percentage is displayed on your dashboard and may be updated with 30 days' notice.

Refunds

Bookings cancelled before approval are fully refunded. Cancellations after payment but before the campaign start date may be eligible for a partial refund at Beezifi's discretion. No refunds are available for campaigns that have started.

Disputes

If a dispute arises between an owner and advertiser regarding a booking, either party may escalate it to Beezifi for review. Beezifi's decision on disputed bookings is final and binding.

7. Payouts & Tax Compliance

W-9 Requirement

Property owners in the United States must submit a completed IRS Form W-9 before receiving any payout. This is required for tax reporting purposes. Payouts will not be processed until your W-9 has been reviewed and approved by Beezifi.

Banking Information

You must provide valid U.S. bank account information to receive payouts. You represent that the bank account you provide belongs to you and that you have authority to receive funds into it.

Payout Processing

Payouts are processed manually by Beezifi's administrative team. Standard processing time is 3–5 business days from your payout request. Beezifi reserves the right to delay payouts pending W-9 verification, dispute resolution, or compliance review.

Tax Reporting

Beezifi may issue Form 1099-MISC or other applicable tax forms for earnings above IRS reporting thresholds. You are solely responsible for reporting your Adzifi earnings to the appropriate tax authorities.

Minimum Payout

A minimum balance is required before requesting a payout. The current minimum is displayed in your Payouts dashboard.

8. Creative Content Policy

All ad creatives submitted to Adzifi must be reviewed and approved before display. The following content is strictly prohibited:

• Deceptive, false, or misleading claims;
• Adult or sexually explicit content;
• Content promoting illegal products or services (including unlicensed cannabis, firearms, or controlled substances);
• Content that promotes discrimination, hate speech, or violence;
• Political advertising that does not include required disclosures;
• Content targeting minors in an inappropriate manner;
• Content that infringes third-party intellectual property rights;
• Malware, phishing links, or deceptive URLs.

We reserve the right to reject or remove any creative that violates this Policy without refund. Repeated violations may result in account termination.

9. Prohibited Conduct

You agree not to use Adzifi to:

• Circumvent our escrow or payment systems;
• Arrange off-platform transactions to avoid platform fees;
• Submit false reviews, ratings, or property information;
• Impersonate any person, business, or entity;
• Harass, threaten, or abuse other users;
• Attempt unauthorized access to the platform or other users' accounts;
• Use automated tools or bots to scrape, book, or interact with the platform without written consent;
• Violate any applicable law or regulation.

Violations may result in content removal, account suspension, or permanent termination depending on severity.

10. Intellectual Property

The Adzifi platform, including its design, code, logos, trademarks, and all content created by Beezifi, is owned by Beezifi Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any license to use Beezifi's trademarks or branding without our express written consent.

By submitting property photos, creative files, or other content to Adzifi, you grant Beezifi a non-exclusive, royalty-free license to use, display, and reproduce that content solely for the purpose of operating and marketing the Service. You retain ownership of all content you submit.

11. Privacy

Your privacy matters to us. Our Privacy Policy describes how we collect, use, and share information about you when you use the Service. By using Adzifi, you agree to the collection and use of information as described in the Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS.

Beezifi does not verify the accuracy of property listings, traffic scores, or impression estimates. Advertisers rely on this information at their own risk. We do not guarantee specific campaign results (impressions, visibility, or conversions).

Beezifi is a marketplace platform and is not a party to the advertising agreement between property owners and advertisers. We are not responsible for the actions or omissions of either party.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEEZIFI INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL BEEZIFI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE AMOUNT YOU PAID BEEZIFI IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

14. Termination

By You

You may delete your account at any time from your account settings. Deletion is permanent. Outstanding escrow balances or pending payouts will be settled before deletion is finalized.

By Beezifi

We may suspend or terminate your account or access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include violation of these Terms, fraudulent activity, illegal advertising, extended inactivity, or actions that harm the platform or other users.

Effect of Termination

Upon termination, your right to use the Service immediately ceases. Active bookings at time of termination will be honoured to their completion date where reasonably possible. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

For any dispute arising from or relating to these Terms or the Service, you agree to first contact us at legal@beezifi.com to attempt an informal resolution. If we cannot resolve the dispute informally within 30 days, both parties agree to submit to the exclusive jurisdiction of the courts located in Delaware.

You waive any right to a jury trial or class action in connection with any dispute related to these Terms or the Service.

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting a notice on the platform, sending an email to your registered address, or both, at least 7 days before the changes take effect.

Your continued use of Adzifi after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and delete your account.
